1. INTRODUCTION
This Independent Distributor Agreement ("Agreement") establishes the terms and conditions under which an individual ("Distributor") may participate in the sales and compensation program of ReNuevo Up Essential Global ("the Company").
By registering as a Distributor, you agree to comply with this Agreement and all applicable policies.
2. NATURE OF THE DISTRIBUTOR
The Distributor is an independent contractor and is not an employee, partner, legal representative, or agent of the Company.
The Distributor does not have the authority to:
● Legally bind the Company.
● Represent the Company as an employee.
● Create contracts on behalf of the Company.
3. REQUIREMENTS TO PARTICIPATE
To become a Distributor, a person must:
● Be at least 18 years old.
● Provide truthful and up-to-date information.
● Accept this Agreement.
● Comply with all applicable local, state, and federal laws.
4. COMPENSATION PLAN
The Distributor may earn income through:
● Direct product sales.
● Commissions on personal sales.
● Performance bonuses.
● Team development bonuses (if applicable).
Payment of commissions and bonuses will be subject to:
● Compliance with this Agreement.
● Current Company policies.
● Qualification requirements established by the Company.
The Company reserves the right to modify the Compensation Plan at any time.
5. DISTRIBUTOR CONDUCT
The Distributor agrees to:
● Act with ethics, honesty, and professionalism.
● Not make false or misleading statements about products or income.
● Not promise guaranteed results.
● Not make unauthorized medical or therapeutic claims.
● Respect the Company’s brand, reputation, and image.
6. USE OF BRAND AND ADVERTISING
The Distributor:
● May not use the Company’s logos, name, or identity without authorization.
● May not create misleading or unapproved materials.
● Must identify themselves as an "Independent Distributor" in communications.
7. SOCIAL MEDIA
The Distributor may promote products on social media, provided that:
● No false claims are made.
● They do not impersonate the Company.
● They do not publish misleading or unauthorized content.
8. INCOME AND REPRESENTATIONS
The Distributor acknowledges that:
● Income is not guaranteed.
● Results depend on individual effort.
● They may not promise fixed income or automatic success.
9. PROHIBITIONS
The Distributor may not:
● Recruit others into the business through deceptive means.
● Use fraudulent practices.
● Manipulate or abuse the compensation system.
10. TERMINATION
The Company may suspend or terminate the Distributor’s account if:
● This Agreement is violated.
● Illegal or unethical practices are conducted.
● The Company’s reputation is harmed.
The Distributor may cancel their participation at any time.
11. LIMITATION OF LIABILITY
The Company shall not be liable for:
● Indirect or consequential losses.
● Loss of potential earnings.
● The Distributor’s individual results.
12. MODIFICATIONS
The Company may update this Agreement at any time. Changes will be effective once published.
13. GOVERNING LAW
This Agreement shall be governed by the laws of the State of Florida, United States.
Any disputes shall be resolved in courts located in Miami-Dade County, Florida.
14. ACCEPTANCE
By registering as a Distributor, you confirm that you have read, understood, and agree to this Agreement.
